Overall purpose, duties and responsibilities of the role:

This role is accountable to assist the Chief Legal & Compliance Officer in fulfilling the mandate of the Compliance function which is to ensure the sound and effective management of business and compliance risks within the Company.

Duties and Responsibilities:

·      Embed, promote, and implement Compliance framework with regulatory and reportorial requirements

·      Formulation of policies, operating manuals, and training materials, such as but not limited to:

A) Anti-Money Laundering and CounterTerrorist Financing (AML-CTF)        

B) Foreign Account Tax Compliance Act (FATCA)

C) Data Privacy and Protection D) All other corporate governance policies that may be required by Ageas Group Office, local law and regulations, and best practices

·      Assist and coordinate with the Compliance Assurance Officer/Sr Manager for Compliance in the preparation of internal and external reporting requirements such as but not limited to: legal and regulatory updates, compliance breaches and incidents, compliance risk assessments, etc. through the Compliance Dashboard to the Audit Committee, Key Risk Report, Quarterly Compliance Reports to Ageas Group and/or Regional Office

·      Provide appropriate and timely advisory service to all concerned units on legal and compliance matters, such as but not limited to:

A) Identification of all relevant laws, rules and regulations, policies and procedures relevant to the day to day operations of the Company

B) Review of product forms, policies, and contracts

C) Draft, review, and issuance of letters and responses to regulators

D) Remind and follow up with relevant business units on the timely submission of reports to regulators

·      Manage the distribution compliance of the Company

a. Investigate, evaluate, and resolve allegations of market conduct violations perpetrated by sales personnel;

b. Submit to the Market Conduct Committee the findings and recommendations on appropriate disciplinary sanctions, if any, of affected sales personnel

·      Assist the Human Resources and Bancassurance department such as but not limited to:

A) Supporting Employee Relations (“ER”) function through timely and appropriate advice on labor laws and regulations, drafting of notices and memoranda, attendance in administrative hearings, etc.

B) Supporting the Compensation & Benefits function through timely and appropriate advice on latest labor laws and regulations relating to labor standards

·      Promote compliance awareness through development Compliance trainings; ensure 100% roll-out of compliance trainings to all directors, officers, and employees of the Company

·      Ensure timely completion of all governance related matters such as but not limited to ASEAN Corporate Governance Scorecard (ACGS) and other regulatory or governance filings

·      Develop and maintain a complete, accurate, and reliable records, files, and contract management database

·      Drafts and review contracts for all third party vendors

·      Act as secod level reviewer for denied claims

·      Represent Troo to PLIA as part of the ethics committee

·      Perform all other related tasks as assigned
