Flexi Finance is currently looking to recruit an ambitious and highly motivated Corporate Secretary to join our Cebu-based office.

JOB SUMMARY: Corporate Secretary

The main responsibility of the Corporate Secretary is planning and preparing for board meetings. At a minimum, this includes the following five areas:

 Scheduling Agendas Executive liaisons documenting board meetings Corporate housekeeping

DUTIES AND RESPONSIBILITIES

Safekeeping and preservation of the integrity of the Board meeting minutes and its committees, as well as the other official records of the corporation;Inform the members of the Board and the Shareholders of the agenda of their meetings and ensure that the members will have accurate information on matters that require their approval;Tasked with knowing and complying with meeting notice requirements and setting a schedule that accommodates the directors.Responsible in the upkeep, organizing and maintaining documents in filing systems, both paper and electronicDrafting and preparing meeting minutes, Secretary’s Certificates and Board ResolutionsLegal research and documents reviews in order to keep organization up-to-dateOther relevant and related tasks as the position may require

REQUIRED SKILLS, TOOLS AND COMPETENCE

Graduate of any 4 year course is requiredMust have at least 2 years work related experience with units in law and actual experience in a law officeHas excellent oral, written and interpersonal communication skillsMeticulous and organizedHas knowledge of law, legal codes, court procedures, precedents, government regulations, executive orders, agency rules, and other legal processMust possess Microsoft Word and Excel proficiencyAdequate administrative and interpersonal skillsMust possess good working knowledge of corporate operations
