Job Purpose:
The Legal Concession Assistant Manager is responsible for all aspects of work in the Legal Concession Department of the Legal Services Division by providing legal expertise and support to the company in various legal matters pertaining to its concession, and assure that the company in in compliance with the laws and regulations as well as liaising with the different partners, stakeholders, government agencies, and instrumentalities.
Duties and responsibilities:
Legal Research and Advice:
Conduct legal research on applicable laws and jurisprudence on issues relating to the concession of the company, and other relevant legal matters affecting the business of the companyPrepare legal opinion or memorandum on matters that need to be addressed by the companyProvide strategic legal advice to managementDraft and Review Correspondence and Legal documents:
Draft necessary pleadings concerning toll rate adjustmentsDraft letters to Grantors, LTRC and other government offices in relation to the concessionReview JVA/CA and monitor legal obligations under the JVA/CA to ensure complianceDraft contracts and agreements relating to the concession, including proposed revisions to existing contract as may be necessaryEnsure that key issues and needs of the company are addressedLegal Representation:
Attend various meetings with the Grantors, BMB, PSG, LTRC and other government offices to advocate the company’s interestCollaborate with various government offices, other private organizations and networks, as may be appropriateCoordinate with other legal servicesOther Legal Support:
Ensure compliance with laws and jurisprudence, rules and regulations, and company policies and guidelinesIdentify potential legal and regulatory issues that may affect or pose a risk to the business in order to mitigate or minimize the company’s liability Oversee the safekeeping of legal documents and maintenance of an electronic database for legal documents relating to the concession.Performs other duties and venture into other projects, as may be assigned.Qualifications:
Education (Major/Courses): Bachelor of Law or Juris Doctor
Licences/Certificates: Admission to the Philippine Bar
Work Experience (Overall employment, Specific experience):
with five (5) years experience in the legal profession and with three (3) years management experience in a corporate legal capacity.Experience in litigation is an advantage.Specialized Knowledge:
Excellent knowledge and understanding of Philippine laws and jurisprudence, and legal proceduresSpecial Skills:
