Legal Counsel - Pasig

QUALIFICATIONS:

Candidate must possess a Professional License in law and graduate of reputable school/university with excellent academic recordsAt least 8 years of legal practicePreferably with experience in top law firm, MNC or listed companiesWith solid experience in contracts in line Joint Venture Agreements, mergers and acquisition, bank loan documents, etc.Highly able to structure agreements/transactions (account financial & tax impacts) - preferably in Telco backgroundHighly skilled in contract negotiations and drafting/preparationWith solid background in corporate law and/or telecommunications lawExcellent communication and interpersonal skillsAble to lead a multi-functional teamSelf-driven and target-orientedCan thrive in a fast-paced team environmentTeam leader and team playerFast learner and flexible to an ever-evolving operation processExcellent written and spoken EnglishHigh attention to details

RESPONSIBILITIES:

Negotiate, structure, draft and/or review of various types of contracts and legal documents, including but not limited to supply contracts, service contracts, subscription agreements, lease contracts, deeds of sale, NDAs/Confidentiality agreements; branching agreements, cable landing station agreements, joint ventures, etc.Identify and manage legal risks/issuesUpdate management on current and new legislations relating to and affecting the business and industryRepresent company’s interests in the negotiation with partners, suppliers, service providers and clientsAssist in planning and developing company policies and procedures, ensuring proper dissemination, implementation and complianceAssist in the formulation of, and supervise and verify compliance with, company policies and internal proceduresAssist in corporate housekeeping and handle all corporate legal processesGuide managers and ensure compliance with government rules and regulationsDevelops and recommends improvements in legal documents, contracts, forms, instrumentsOverall, the candidate should be able to provide a wide range of legal, labor, litigation and corporate services, including administrative functions, as necessary in the achievement of corporate goals and objectives.Render legal support on different strategic projects, often working under tight schedules
