JOB SUMMARY:

The Manager for CG&I shall be responsible to discharge legal services related to:

Compliance

-         both internal and external

-         regulatory compliance

-         Data Privacy as Deputy Data Protection Officer

Dealer Network related concerns

Government Affairs and Public Policy

The Manager for CG&I shall have a direct administrative and functional reporting line to the AGM-CLAD or Functional Unit Head for CLAD. 

JOB FUNCTION:

Compliance

a.       Management and working responsibility for all legal issues and tasks related to Compliance and ensuring that the operations of the Company are compliant with:

 i.    internal policies, procedures, regulations, and similar issuances

ii.    Laws, Statutes, relevant Government regulations and issuances

b.   Membership in the Company's Compliance Committee

c.  Take on an active role in the review of existing internal controls and propose necessary revisions or additions thereto

d.    Investigate violations of NPI's policies, code of conduct, procedures and regulations

e.       Ensuring Data Privacy Compliance

i.    Appointed as the Deputy Data Protection Officer to assist the Data Protection Officer (DPO) in ensuring that the Company is compliant with the provisions of the Data Privacy Law and related issuance of the National Privacy Commission (NPC);

                               ii.           Coordinate with each functional unit as may be necessary for the preparation; and prepare and submit all necessary reports required by the Philippine Government relating to Data Privacy

f.        Provide/conduct relevant training to NPI Personnel on relevant laws and government policies affecting the operations of NPI as may be necessary

g.       Assess and effectively manage legal risks that exposes the Company to legal and administrative sanctions

Dealer Network and Related Concerns

a.      Management and working responsibility for all legal issues related to the Company's Dealer network and its operations, which include but is not limited to the following:

                                i.           Dealer Agreements and related agreements for the set- up of Dealers

                               ii.           Implementation of the Dealer Agreements

                             iii.           Termination of Dealers

                             iv.           Implementation of a dealer network strategy

b.      Assist the functional units in the resolution of Customer Complaints, legal issues relating to warranty and customer handling

c.       Provide/conduct relevant training to Dealer Personnel on relevant laws and government policies affecting the operations of the Dealers as may be necessary

d.      Prepare the necessary documentation needed for Dealer Operations

Government, Industry Affairs and Public Policy

a.      Lobbying on all regulatory issues that affect the industry. Play an active role in lobbying and managing government relationships in close coordination with industry associations and government offices

b.      Deal with the most significant legal issues affecting the Company, including ventures/strategic partnerships with other manufacturers/suppliers, agreements with government authorities, corporate issues, tax related affairs and HR issues

c.       Active participation in activities of the Chamber of Automotive Manufacturers of the Philippines, Inc. ("CAMPI") activities or activities of similar industry associations

d.      Keep abreast of, and report relevant updates on the industry regulation to the AGM, CLAD and Senior Management of the Company, where necessary

General Functions/Other Functions

a.      Work with functional units and prepare required reports and documents, related to the above functions and/or as may be assigned by the AGM, CLAD

b.      Monitoring handling by external counsel of referred requests

c.       Plan and administer the CLAD Budget for Fiscal year

d.      Liaising, coordinating and managing external counsel and referral of legal requests

e.      documents and Contract reviews

f.        Preparation of needed documents or forms required by the Government

g.      Other related duties and responsibilities that may be assigned from time to time.

MINIMUM QUALIFICATIONS:

1.      Education and Certification

·       Bachelor of Laws, graduate from a reputable university/school with good scholastic records

·       Passed the Bar examination and a member of the Integrated Bar of the Philippines in good standing

2.      Experience

·      At least 5-8 years minimum PQE, experience in the automotive industry is a plus

·      Candidates from law firms are welcome to apply, but an appreciation of the environment that the recruit will be required to operate within is necessary

3.      Skills and Competencies

·       Excellent grasp of contract law, commercial law, data privacy law and relevant trade and business law

·      Exposure to international commercial contracts and transactions is an advantage

·      Proven track record in commercial law, working in an international environment

·      Good grasp of the regulatory framework in the Philippines

·      An excellent command of English (written and spoken)

·      Excellent presentational skills and ability to persuasively put an argument with senior managers, third parties and government officials

4.      Physical requirements/Other Requirements

·      Preferably with valid driver’s license and driving skills

·      Able to immediately generate confidence within the company, the global legal function and with senior commercial managers

·      Capable of taking responsibility, working transparently and showing leadership

·      A diplomatic, transparent and sensitive approach to managing conflicts should they arise

·      Nissan is a relatively "flat" organization. Whilst the appointment may be at Manager level, the recruit will have to deal with staff at every level of the Nissan organization and must have the confidence and maturity to a) act decisively and b) advise pro-actively and convincingly.

·      Willingness to work very flexibly in a cost sensitive, rapidly changing company and business environment.

·      Amenable to local and international travel for short or extended duration
