Provide in-house legal assistance, as necessary, across all business and functional units.Develop and implement legal risk management framework and initiatives to comply with all applicable laws, rules, regulations, guidelines and standardsAssist the company in preparing and updating the Legal Management Risk framework, Initiatives and Programs, as well as to monitor the key legal issues to ensure that legal risks are properly managedEnsure that all policies and procedures for legal are up-to-date and abreast with the latest issuances and regulations.Being the first and key point of contact for the Center for all legal and regulatory matters and services and liaising and coordinating within regulators and government authorities like BIR, SEC, and LGUs etc. Actively participate in Regulatory or Government liaising on any policy or any issues, develop strategies to communicate and negotiate with external parties (regulators, external counsel, public authority etc.), creating relations of trustPreparing, drafting and reviewing contracts between the company and its clients and suppliersAssist in the preparation and negotiation of contracts and business engagements with third parties and partners;Continually assess effectiveness of the company’s legal policies, procedures and risk management systemsEnsure that relevant provisions that protect and promote data privacy, confidentiality, bank secrecy, outsourcing requirements, etc., are properly defined and incorporated in all contracts and agreements with service providers, vendors and partners.Conduct regular review and update of business contract templates.Provide legal assessment and advisory on existing and new law and regulatory issuancesRecommend and provide value-added advice on the adequacy of controls in managing and mitigating legal and regulatory risks effectively.Review and assess legal and regulatory risks during new products/services/process/policy/infrastructure projects sign off.Work closely with, and provide support to, Human Resources on labor relations mattersAssist on the review and update of employment contracts as well as internal policies, as may be required.Represent the company at the National Labor Relations Commission and other similar agencies, for employee grievances and other labor-related matters, as authorized.Provide support to business in initiating/ defending any criminal, civil oR regulatory related litigation which includes, collating facts, developing litigation strategy & preparing grounds for defense, briefing the external counsels, filing of petitions, appeals, stay and follow ups.Oversee and manage all statutory/regulatory reporting and compliance requirements.
