Provides a specialized service mainly to review contracts and pertinent documents such as but not limited to purchase order, sales contracts, installation contracts, etc.Draft contract and ensure that he contemplates and calculates the risks involved in business processes and decisions which the company will enter into.Review existing contracts and enter or update certain terms and provisions of the contract to negate future risks to the company.Provide legal advice for the regular business operations.Examining if there are provisions in the contracts which may be detrimental to the companies.Ensuring that the mandatory standard provisions of the company are present in the contracts.Responsible for drafting, reviewing and have an active role in negotiating contracts with clients, suppliers and subcontractors. Over time, owning 100% of the contract management process.Responsible for administrative matters complementary to the role.Working closely with concerned departments in order to determine, propose and implement process improvements on the interaction between the provisions of the contracts and how to implement the same.Escalate to the management or to the concerned department the consequences and the intricacies of the provisions of the contract.Assist with reporting and documenting commercial and contract risks and issues in compliance with contract management processes and account delivery requirements;Independently support the Company, and in documenting and reviewing terms and conditions through agreements, proposals, change orders, etc.Independently manage and support Legal Services within Contracting in negotiating Non Disclosure Agreements, Request for Proposal responses, Statements of Work and other documents relating to various operating groups in accordance with company policies and procedures, applicable laws, and customer requirements.Negotiating NDAs, Proposals, Statement of Work, Subcontract Agreements, Services Agreements and other contracts with internal client and external client when needed.Training team members and developing checklists and process documents for reviewing NDAs, RFP’s, Proposals, Arrangement Letters/Statement of Work, Local Country Agreements, Services Agreements, etc.;Directly liaising with internal stakeholders and deal teams on various legal and commercial issues.Independently works on smaller engagements and/or works within team on a large, complex engagement.Coaching and mentoring Legal Services Professionals;Providing individuals with positive and developmental feedback, and support any specific training initiatives.Introducing, improving and suggesting process measures for ad-hoc and new service lines from time to time.

Qualifications:

Licensed to practice law in the PhilippinesA member of the Integrated Bar of the Philippines in good standingGraduate of Law schoolBroad based experience in contract.15 years or more experience in Contract Management from Shared Services, Multinational companies and Government
